These Terms of Service ("Terms") govern your use of the New Leaf Tax LLC ("we," "us," or "our") website at www.newleaftax.com and our tax resolution services. By accessing our website or using our services, you agree to these Terms.
Services
New Leaf Tax provides tax resolution services including, but not limited to, IRS and state tax debt resolution, Offers in Compromise, installment agreements, penalty abatement, levy and lien resolution, audit representation, and unfiled tax return preparation. All services are performed by Joshua Taylor, an IRS Enrolled Agent authorized to represent taxpayers before the Internal Revenue Service.

New Leaf Tax provides tax resolution services. We are not a law firm and do not provide legal advice. If you require legal advice, we recommend consulting a licensed attorney. Information provided on our website or during consultations is for educational purposes and should not be considered legal counsel.

Client Responsibilities
When engaging our services, you agree to:

Fees and Payment
Our fees are discussed and agreed upon before services begin. Fee structures and payment terms are outlined in a separate engagement agreement provided to each client. We offer flat-fee pricing for most services. Fees are non-refundable once work has commenced unless otherwise specified in your engagement agreement.
Engagement Agreement
Our professional relationship with clients is governed by a separate engagement agreement that outlines the specific scope of services, fees, and responsibilities. These Terms supplement but do not replace any engagement agreement. In the event of a conflict, the engagement agreement controls.
Confidentiality
We treat all client information as confidential in accordance with IRS regulations, Circular 230, and professional standards for Enrolled Agents. We will not disclose your information to third parties except as necessary to provide our services (e.g., communicating with the IRS on your behalf) or as required by law.

Governing Law
These Terms are governed by the laws of the State of Colorado. Any disputes arising from these Terms or our services shall be resolved in the courts of Summit County, Colorado.
Dispute Resolution
Before initiating any formal legal proceeding, you agree to first contact us directly to attempt to resolve any dispute informally. If we are unable to resolve the matter within 30 days, either party may pursue formal resolution.
Any dispute, claim, or controversy arising out of or relating to these Terms or our services that cannot be resolved informally shall be submitted to binding arbitration administered in Summit County, Colorado, in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding. Each party shall bear its own costs and attorney's fees unless the arbitrator determines otherwise.
You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as part of a class, consolidated, or representative action.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
